Recovery Authorization

This document is what you agree to when you ask us to recover money from your carrier on your behalf. Read it before you accept it — it is short on purpose.
1. What you are authorizing
You authorize us to contact your carrier about specific billing errors we have identified on invoices you uploaded, and to ask that carrier to credit your account for those errors.
This authorization covers only the findings listed on the case you accept it for. It is not a general mandate over your carrier account. Each case is authorized separately.
You confirm that you are the customer of record on the carrier account concerned, or that you are authorized to act for that customer, and that you may grant us this authority.
2. What we do
For each authorized case we will:
- prepare a claim describing the billing error, the shipment, and the amount;
- submit it to the carrier through the channels that carrier makes available;
- record the carrier's response;
- tell you what the carrier decided.
We act as your agent for this limited purpose. We do not become a party to your contract with the carrier, and nothing here changes that contract.
3. What we do not do
- We do not guarantee any recovery. Identifying a billing error is not the same as the carrier agreeing to it.
- We do not control the carrier's decision, its timing, or the criteria it applies. Carriers refuse valid-looking claims, and they take as long as they take.
- We do not negotiate your rates, audit contract compliance, or make any commitment about future invoices.
- We do not access your carrier account unless you separately and explicitly give us credentials, which we do not require and do not ask for today.
4. Four different amounts, and why they are never mixed
These words mean specific things throughout our product, and the fee depends on the last one only:

Approved is not Confirmed. A carrier can approve a claim and then credit less than it said, or not credit at all. We do not charge you on an approval.
5. The fee
You owe us a recovery fee only on Confirmed Recovery, at the percentage shown to you when you accepted this authorization and recorded with it.
- If nothing is recovered, you owe nothing. There is no minimum, no retainer and no fee for work performed.
- If the carrier credits part of a claim, the fee applies to the part that was actually credited, not to what was claimed or approved.
- The percentage in force is the one recorded on this authorization. If our pricing changes later, cases already authorized keep the rate you agreed to.
- Founding 100 members have a recovery fee of 0%. Their authorizations record 0% and can never produce a charge.
The fee is calculated as: Confirmed Recovery × the agreed percentage, rounded
to the nearest cent.
6. Your payment method and when we charge it
When you authorize a recovery, we ask you to place a payment method on file, and we charge the recovery fee to it after a credit is confirmed — not before, and not while a claim is pending.
By saving that payment method you authorize us to store it with our payment processor and to charge it without you being present ("off-session"), for the recovery fee only, in the amount determined by section 5.
You will always receive:
- an email when a credit is confirmed, showing the amount recovered, the fee and what you keep, before any charge appears;
- an email receipt when the fee is charged.
We do not store your card number. It is held by our payment processor (Stripe); we keep a reference, the brand and the last four digits.
If your bank requires additional authentication for the charge, or the charge is declined, we will tell you and ask you to complete it or provide another method. The recovery itself is unaffected — the credit is on your carrier account regardless.
We will never charge this payment method for anything other than a recovery fee arising from a confirmed credit on a case you authorized.
7. Cancelling this authorization
You may withdraw this authorization at any time, in writing to support@shipoverpay.com or from the case page, before we submit the claim to the carrier. Nothing is owed.
Once a claim has been submitted, we cannot un-submit it: it is with the carrier. If a credit is confirmed after you withdraw, the fee on that credit remains due, because the recovery happened. You may still withdraw for any case not yet submitted.
You may also remove your saved payment method at any time. Doing so does not cancel a fee already owed on a confirmed credit.
8. Duplicate and overlapping claims
Tell us if you, or another auditor, have already claimed the same charges. Duplicate claims can cause a carrier to reject both. We are not responsible for a rejection caused by a claim we were not told about, and no fee arises from a claim that recovers nothing.
9. Records
We keep, for each case: the findings claimed, the amounts at each stage, the carrier's response, who confirmed the credit and from what source, and the fee calculation. You can see this on your case page and can ask us for a copy.
10. Limits
We provide this service with reasonable care. We are not liable for a carrier's decision, for amounts a carrier declines to credit, or for consequences of your own carrier contract. Nothing here excludes liability that cannot lawfully be excluded.
11. Changes
We may publish a new version of this document. A new version applies to cases authorized after it takes effect. Cases you have already authorized keep the version and the fee percentage you accepted.
